Annex A — Third-Party Subscription & Billing Terms

These terms form an integral part of the engagement with ThinkEasy and govern subscription services provided through third-party vendors (Pax8, Secureframe, OpenVPN). See also our General Terms of Service, which apply in addition.
1) Authorization
The Client designates authorized contact(s) in writing. Any request for purchase, seat increase/decrease, or cancellation is valid only upon written request from an authorized contact.
2) Billing & Cycles
- Subscriptions follow the respective vendor’s billing cycles (monthly/annual) and pricing/proration rules.
- Vendor price changes take effect automatically on the stated effective date.
- Invoices are issued in EUR; FX variances are borne by the Client. Prices exclude taxes/VAT.
3) License Changes & Cancellations
- Upsize: immediate activation and pro-rata billing to current cycle end.
- Downsize: effective at next renewal, per vendor rules.
- Cancellation: written notice required 30 days (monthly) / 60 days (annual) prior to renewal (or any stricter vendor term).
4) Third-Party Liabilities
Services are provided on a resale basis. Vendor SLA/ToS (e.g., Pax8/Secureframe/OpenVPN) govern service operation. ThinkEasy is not liable for outages, failures, or losses attributable to third-party vendors; reasonable assistance/escalation is provided.
5) Scope of Service
Fees cover third-party license/service costs only. Setup, migrations, hardening, training, monitoring, and reporting are billed separately (T&M or fixed bundles).
6) Payment Terms & Disputes
- Payment: Net 7 (unless otherwise agreed in writing).
- Late payment: may incur interest/collection costs as per policy.
- Billing disputes: must be raised within 7 days of invoice issue; thereafter deemed accepted.
7) Warranties – Limitation of Liability
Vendor warranties apply on an “as-is” basis. No liability for indirect or consequential damages (including loss of profit and/or data). The aggregate liability of ThinkEasy is capped at the fees paid for the service at issue during the last 3 months.
8) Compliance & Acceptable Use
The Client shall comply with applicable laws and acceptable-use policies. The Client must provide timely and accurate user/domain/device information. Breach may result in suspension.
9) Data & Termination
Upon termination/expiry, the Client is responsible for data export and transition. ThinkEasy provides reasonable assistance/configuration exports upon settlement of all dues.
10) Force Majeure & Subcontracting
No liability for delays due to force majeure. Subcontracting is permitted without transferring Client obligations.
Vendor-Specific Provisions
Pax8 (Marketplace)
- Microsoft/3rd-party subscriptions follow Pax8 proration/renewal rules.
- Vendor minimum terms/constraints may apply (e.g., annual commitment for certain SKUs).
Secureframe
- Seat-based licensing, typically annual term.
- Onboarding/implementation fees where applicable.
- Seat reductions take effect only at the next renewal.
OpenVPN / VPN
- Per-user or per-device licensing; monthly/annual billing.
- Key/CA management and policy hardening are billed separately.
11) Acceptance of Terms
Acceptance of any ThinkEasy proposal/contract constitutes full acceptance of this Annex A and the General Terms of Service. Acceptance is recorded electronically via the ThinkEasy form (mandatory checkboxes), with an automatic confirmation email to the Client and an admin notification to ThinkEasy.
